Terms of Service

Welcome to StocksalesApp. By accessing or using our cloud-based business management platform, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.

1. Service Description & Scope

StocksalesApp is a comprehensive, subscription-based business management ecosystem that provides integrated tools for inventory tracking, point-of-sale (POS) operations, customer relationship management (CRM), real-time analytics, and multi‑channel order synchronization. The service is delivered as a software-as-a-service (SaaS) solution, accessible via web browsers and supported mobile applications, and is continuously updated to enhance performance, security, and feature availability.

All features, modules, and usage limits are defined by the active subscription plan. We reserve the right to introduce new functionalities or modify existing ones, provided such changes do not materially reduce the core utility of the service during the active subscription period.

2. License & Intellectual Property

Subject to your compliance with these Terms and payment of applicable fees, StocksalesApp grants you a limited, non‑exclusive, non‑transferable, and revocable license to access and use the platform solely for your internal business operations. This license does not include any right to:

• copy, modify, or create derivative works of the software or its underlying code;
• reverse engineer, decompile, or disassemble any part of the service;
• rent, lease, sublicense, or resell access to the platform;
• use the service for any purpose other than as expressly permitted under your subscription.

All trademarks, logos, and service marks displayed on the platform are the property of StocksalesApp or its licensors. You may not use them without prior written consent.

3. Acceptable Use & Conduct

You agree to use StocksalesApp in a lawful, responsible, and ethical manner. Prohibited activities include, but are not limited to:

• transmitting any harmful, fraudulent, or deceptive content;
• interfering with the integrity or performance of the service, including launching denial‑of‑service attacks or introducing malware;
• accessing data or accounts without proper authorization;
• using the platform to store or process illegal material, or to conduct any activity that violates applicable laws or regulations.

We reserve the right to monitor usage and investigate any suspected violations. Accounts found in breach of this section may be suspended or terminated without prior notice.

Either party may terminate this agreement at any time. If you terminate, you will not receive a refund for prepaid fees unless required by law. We may suspend or terminate your access immediately if:

• you breach any provision of these Terms;
• your use poses a security or integrity risk to the platform;
• we are required to do so by law or regulatory authority.

Upon termination, you must cease all use of the service and delete any cached or stored data from the platform. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) shall remain in effect.

6. Updates to the Terms

StocksalesApp may revise these Terms from time to time to reflect changes in the law, our business practices, or the features of the service. The most current version will always be posted on this page, with the “Effective” date updated accordingly.

We will notify you of material changes via email or through an in‑app notification at least 14 days before they take effect. Your continued use of the service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription.

7. Data Protection & Privacy

Your privacy is important to us. Our collection, use, and processing of personal data are governed by our Privacy Policy, which is incorporated by reference into these Terms. We implement industry‑standard technical and organizational measures to protect your data against unauthorized access, loss, or alteration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately if you suspect any unauthorized use.

8. Warranty Disclaimer

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, StocksalesApp disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the service will be uninterrupted, error‑free, or completely secure.

9. Limitation of Liability

In no event shall StocksalesApp, its affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or in connection with your use of the service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or the service shall not exceed the amount you paid us during the twelve (12) months preceding the claim.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Wilmington, Delaware.

You agree that any claim must be filed within one (1) year after the cause of action arose, or it is permanently barred.
